OVERVIEW

Welcome to Primrose 4D.

The terms “we,” “us,” and “our” refer to Primrose 4D. Primrose 4D operates this store and website, including related information, content, features, tools, products, design services, manufacturing services, and other services in order to provide customers with a curated shopping and manufacturing experience (collectively, the “Services”).

Primrose 4D is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies, quotes, specifications, order confirmations, or other terms incorporated by reference, describe your rights and responsibilities when you use the Services.

Please read these Terms carefully. They include important information about your legal rights, custom manufacturing, customer-provided content, warranty disclaimers, and limitations of liability.

By visiting, interacting with, purchasing through, submitting materials to, or otherwise using the Services, you agree to these Terms of Service and our Privacy Policy. If you do not agree, you should not use the Services.

SECTION 1 — ACCESS AND ACCOUNTS

By using the Services, you represent that you are at least the age of majority in your state or jurisdiction of residence or are otherwise legally capable of entering into a binding agreement.

You may be asked to provide information including your name, email address, telephone number, billing information, payment information, shipping information, or information related to a custom project.

You represent and warrant that information you provide is accurate, current, and complete and that you have the right to provide such information.

You are responsible for maintaining the security of your account credentials and for activity occurring through your account.

SECTION 2 — OUR PRODUCTS AND MANUFACTURING CHARACTERISTICS

We make reasonable efforts to display and describe products accurately. However, colors, textures, finishes, dimensions, and appearance may vary from photographs, digital renderings, displays, or samples.

Many Primrose 4D products are manufactured using additive manufacturing and related small-batch production methods. These processes may naturally produce visible layer lines, minor surface variations, slight dimensional variation, support-contact marks, color variation, texture differences, seams, or other characteristics inherent to the manufacturing process.

Such characteristics are not necessarily defects when they do not materially impair the product’s intended function or cause the product to materially differ from an approved specification.

Dimensions and specifications published on product pages or provided during a custom project are subject to reasonable manufacturing tolerances unless a specific tolerance has been expressly agreed to in writing.

Product descriptions, availability, materials, specifications, and designs may be updated without notice. We may discontinue products or limit quantities at our discretion.

Unless expressly stated otherwise in writing, Primrose 4D products are not certified for medical, life-safety, structural, aerospace, automotive safety-critical, or other regulated applications requiring specific certification, testing, or regulatory approval.

SECTION 3 — ORDERS

When you submit an order, you are making an offer to purchase.

Primrose 4D may accept or decline an order where reasonably necessary, including because of product availability, pricing errors, payment issues, suspected fraud, manufacturing feasibility, intellectual-property concerns, safety concerns, legal restrictions, or an inability to meet requested specifications.

An order is accepted when we confirm acceptance and any required payment has been successfully processed.

Please review your order carefully before submitting it.

Cancellation and return rights are governed by our Return and Refund Policy and, where applicable, the terms of a custom quote or project agreement.

Orders may be placed for personal or legitimate commercial purposes. Wholesale, resale, production, or other commercial arrangements may be subject to separate written terms.

SECTION 4 — PRICES, QUOTES, AND BILLING

Prices, discounts, promotions, and product availability may change without notice.

The price charged will generally be the price displayed or quoted when the order is placed, subject to correction of obvious errors.

Unless expressly stated otherwise, prices do not include applicable taxes, shipping charges, customs fees, import duties, or other government-imposed charges.

Custom projects may include charges for design work, engineering, file preparation, prototyping, setup, materials, manufacturing, finishing, packaging, or other project-specific services.

A custom quote may require a deposit or advance payment. Any deposit, design fee, setup fee, engineering charge, or other nonrefundable amount will be disclosed before the customer authorizes the work.

If a written custom quote, order form, or project agreement conflicts with these Terms regarding that particular project, the project-specific written terms will control to the extent of the conflict.

You agree to provide accurate and authorized payment information.

SECTION 5 — SHIPPING AND DELIVERY

At launch, Primrose 4D generally ships to addresses within the United States unless otherwise stated.

Processing and production times shown on the website, product page, quote, or order confirmation are estimates rather than guarantees unless expressly stated otherwise.

Made-to-order and custom products may require additional production time.

Carrier transit times are also estimates. Primrose 4D is not responsible for delays caused by carriers, severe weather, governmental action, transportation disruptions, customs processing, natural disasters, or other circumstances reasonably outside our control.

If an order is lost, damaged, or materially delayed in transit, contact us so that we can investigate and assist with the carrier as appropriate.

Risk of loss and responsibility for delivery will be determined in accordance with applicable law and the circumstances of the shipment.

SECTION 6 — INTELLECTUAL PROPERTY

The Services and Primrose 4D-owned content, including trademarks, logos, text, photographs, graphics, product designs, videos, website design, and other materials, are owned by or licensed to Primrose 4D and are protected by applicable intellectual-property laws.

Except as expressly permitted, you may not reproduce, distribute, modify, sell, republish, or exploit Primrose 4D-owned material without our written permission.

Primrose 4D names, logos, product names, and branding may not be used without authorization.

Shopify’s names, logos, products, and services are the property of Shopify or its applicable licensors.

SECTION 6A — CUSTOMER CONTENT AND UPLOADED FILES

For custom design, prototyping, first-article, small-batch, personalization, or other manufacturing Services, you may provide us with files, artwork, CAD files, STL files, STEP files, photographs, logos, trademarks, drawings, measurements, specifications, written instructions, models, or other content (“Customer Content”).

You retain ownership of Customer Content that you own.

By submitting Customer Content to Primrose 4D, you grant us a limited, nonexclusive license to access, copy, convert, modify as instructed, process, store, and use that Customer Content solely as reasonably necessary to evaluate your request, prepare a quote, perform design or engineering work, manufacture products, fulfill your order, provide customer support, maintain business records, and comply with applicable law.

Submission of Customer Content does not give Primrose 4D permission to publicly display or use that material for advertising or promotional purposes unless you separately authorize such use.

You represent and warrant that you own the Customer Content or have all licenses, permissions, and other rights necessary for Primrose 4D to use it for the requested Services.

You may not submit material that infringes another person’s copyright, trademark, patent, trade secret, privacy right, publicity right, or other legal right.

You may not submit content or manufacturing requests that are unlawful or that Primrose 4D reasonably determines would create unacceptable legal, intellectual-property, regulatory, or safety risks.

Primrose 4D may decline a project where we reasonably believe the customer has not demonstrated sufficient rights to the submitted material.

Customer Content submitted for custom manufacturing is not treated as “Feedback” under Section 11.

SECTION 6B — CUSTOM DESIGN, ENGINEERING, AND MANUFACTURING

Custom manufacturing may involve consultation, modeling, engineering, file repair, file preparation, prototyping, test printing, material selection, production setup, manufacturing, and finishing work.

Before production, Primrose 4D may provide drawings, renderings, proofs, dimensions, samples, prototypes, or specifications for customer approval.

When customer approval is requested, you are responsible for carefully reviewing all relevant information, including spelling, dimensions, quantity, orientation, color, design details, fit requirements, and other specifications.

Approval authorizes Primrose 4D to proceed using the approved information.

If a product is manufactured in accordance with customer-approved specifications, differences arising from information approved or supplied by the customer generally will not constitute a Primrose 4D manufacturing error.

Primrose 4D will remain responsible for manufacturing errors attributable to us.

Ownership of design, engineering, CAD, production, or source files created by Primrose 4D for a custom project will be governed by the applicable quote or written agreement.

Unless expressly transferred in writing, no purchase of a physical product automatically transfers Primrose 4D’s pre-existing manufacturing methods, tooling concepts, templates, processes, source files, design libraries, or proprietary know-how.

SECTION 6C — CUSTOM PROJECT CANCELLATION

Custom, personalized, or made-to-specification work may begin before physical manufacturing begins.

If a custom project is cancelled, Primrose 4D may retain amounts reasonably attributable to completed design work, engineering, setup, consultation, testing, prototypes, special-order materials, committed production capacity, or other nonrecoverable costs, to the extent disclosed and permitted by law.

Once manufacturing has begun, cancellation may no longer be possible.

Additional cancellation and refund terms are described in our Return and Refund Policy and may also be stated in an individual quote or project agreement.

SECTION 7 — OPTIONAL TOOLS

We may provide access to third-party tools that we do not control.

Such tools may be provided “as is” and “as available,” and your use of them may also be governed by the third party’s terms and privacy practices.

You should review those terms before using third-party services.

We may introduce additional tools, features, or resources in the future, and those features will also form part of the Services.

SECTION 8 — THIRD-PARTY LINKS

The Services may contain links to websites or services operated by third parties.

Primrose 4D is not responsible for the content, availability, accuracy, security, policies, or practices of third-party websites.

Your use of third-party websites is at your own risk and may be subject to separate terms.

SECTION 9 — RELATIONSHIP WITH SHOPIFY

Primrose 4D is powered by Shopify, which enables us to provide the Services to you.

However, any sales and purchases you make in our Store are made directly with Primrose 4D.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Primrose 4D, including any injury, damage, or loss resulting from purchased products and services.

You hereby expressly release Shopify and its affiliates from claims, damages, and liabilities arising from or related to your purchases and transactions with Primrose 4D to the extent permitted by applicable law.

SECTION 10 — PRIVACY

Our collection, processing, use, retention, and disclosure of personal information is governed by our Privacy Policy.

Because the Services are hosted by Shopify, Shopify may process personal information in connection with your access to and use of the Services.

Customer Content submitted for custom projects may also contain personal or proprietary information. Our handling of such material is subject to these Terms and applicable privacy practices.

Please review the Privacy Policy available through our store before using the Services.

SECTION 11 — FEEDBACK

If you voluntarily submit reviews, suggestions, ideas, recommendations, comments, or other feedback regarding Primrose 4D or the Services (“Feedback”), you grant Primrose 4D a worldwide, perpetual, sublicensable, royalty-free license to use and reproduce that Feedback for business, promotional, operational, and service-improvement purposes.

This section does not apply to Customer Content, confidential project files, manufacturing files, CAD files, artwork, specifications, or other materials submitted to us solely for quotation, design, prototyping, or manufacturing.

You represent that Feedback you submit does not violate the rights of another person.

SECTION 12 — ERRORS, INACCURACIES, AND OMISSIONS

The Services may occasionally contain errors or omissions relating to product descriptions, specifications, pricing, promotions, availability, shipping charges, production time, or other information.

We may correct errors, update information, or cancel an affected order when reasonably necessary.

If an accepted order must be cancelled because of a material error, we will refund amounts paid for the cancelled portion.

SECTION 13 — PROHIBITED USES

You may use the Services only for lawful purposes.

You may not use the Services to violate applicable law; infringe intellectual-property rights; submit unlawful, fraudulent, defamatory, malicious, or deceptive material; introduce malware or harmful code; interfere with store security or functionality; collect personal information unlawfully; circumvent technical protections; impersonate another person; engage in fraudulent transactions; or submit manufacturing requests that Primrose 4D reasonably determines would violate law or create unacceptable safety or regulatory risk.

We may suspend, decline, or terminate access or orders when we reasonably determine that these Terms have been violated.

SECTION 14 — AGENTS AND AUTOMATED ACCESS

This section applies to software or services that autonomously or semi-autonomously access or interact with the Services on behalf of a user (“Agents”).

Agents must identify themselves when reasonably required, may not misrepresent automated activity as human activity, may not circumvent CAPTCHAs or access controls, and may not evade technical measures intended to manage automated access.

Primrose 4D may restrict automated access where necessary to protect customers, the Services, system availability, security, or business operations.

Legitimate search engines, accessibility tools, approved integrations, and authorized commerce or service integrations may be permitted subject to applicable technical requirements.

SECTION 15 — TERMINATION

We may suspend or terminate access to the Services when reasonably necessary because of a violation of these Terms, fraud, unlawful activity, security concerns, abuse, or other material misuse.

Termination does not eliminate amounts or obligations that arose before termination.

Provisions that by their nature should survive termination will remain effective, including provisions concerning intellectual property, Customer Content, payment obligations, liability, indemnification, and dispute provisions.

SECTION 16 — DISCLAIMER OF WARRANTIES

Except for warranties expressly provided by Primrose 4D or rights that cannot legally be excluded, the Services are provided on an “as is” and “as available” basis.

We do not guarantee uninterrupted or error-free operation of the website or third-party services.

Product warranties, if any, are limited to those expressly stated by Primrose 4D.

Nothing in these Terms excludes any warranty, guarantee, consumer protection, or other right that applicable law does not allow to be excluded.

SECTION 17 — LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Primrose 4D and its directors, officers, employees, contractors, service providers, and licensors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost revenue, loss of data, or loss of business opportunity, arising from use of the Services or products.

To the fullest extent permitted by law, Primrose 4D’s aggregate liability arising from a particular order or project will not exceed the amount paid to Primrose 4D for that order or project.

These limitations do not apply to liability that applicable law does not permit to be limited or excluded.

Nothing in these Terms is intended to exclude liability for fraud, willful misconduct, or any other liability that cannot legally be disclaimed.

SECTION 18 — INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold Primrose 4D harmless from third-party claims, losses, or reasonable legal expenses arising from Customer Content you provide, your infringement or alleged infringement of another person’s intellectual-property rights, your unlawful misuse of the Services, or your material breach of these Terms.

This provision does not require you to indemnify Primrose 4D for Primrose 4D’s own negligence, misconduct, or violation of law where such indemnification would be prohibited.

SECTION 19 — SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed if necessary.

The remaining provisions will continue in effect.

SECTION 20 — WAIVER AND ENTIRE AGREEMENT

Failure by Primrose 4D to enforce a provision of these Terms does not waive the right to enforce that provision later.

These Terms, our posted policies, accepted custom quotes, written project agreements, and applicable order terms constitute the agreement governing your use of the Services and purchases from Primrose 4D.

For custom projects, an accepted written quote, specification, or project agreement may supplement these Terms.

SECTION 21 — ASSIGNMENT

You may not assign your obligations under these Terms without our prior written consent where such consent may lawfully be required.

Primrose 4D may assign these Terms in connection with a merger, acquisition, sale of substantially all business assets, reorganization, or other lawful business transaction.

SECTION 22 — GOVERNING LAW

These Terms and transactions with Primrose 4D are governed by the laws of the State of Georgia, without regard to conflict-of-law principles, except to the extent another law must apply.

Any dispute that is properly brought in court will be heard in a court of competent jurisdiction in Georgia unless applicable law requires otherwise.

Nothing in this section deprives a consumer of protections or rights that cannot lawfully be waived.

SECTION 23 — HEADINGS

Section headings are provided only for convenience and do not change the meaning of these Terms.

SECTION 24 — CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes to our Services, business operations, technology, legal obligations, or policies.

The current version will be posted on the website with an updated revision date.

Material changes will be communicated when required by applicable law.

Changes will apply prospectively unless law permits or requires otherwise.
